Brad helps clients identify and proactively address potential points of conflict with shareholders that an activist might otherwise exploit. Leveraging nearly a decade of activism defense experience and a background in banking, Brad has advised numerous Fortune 500 companies on preempting activist attacks. He assesses key issues from the perspective of an active investor and helps clients engage with shareholders and proxy advisors to effectively “close the gap.”  Brad also has significant experience advising on live contested situations, including over $200B of M&A transactions, as well as some of the highest-profile proxy contests.

He has advised clients facing activist campaigns for board seats, including Disney’s defense against Trian, Illumina’s defense against Carl Icahn, Alkermes’ defense against Sarissa Capital, Norfolk Southern’s defense against Ancora, Alexion’s defense against Elliott, Verint’s defense against Neuberger Berman, and LivePerson’s defense against Starboard. He has also advised on contentious or contested transactions, including Bristol-Meyers Squibb’s acquisition of Celgene, Anadarko’s defense against a hostile bid from Occidental, Spirit Airlines’ defense against a hostile bid from JetBlue, ONEOK’s acquisition of Magellan Midstream Partners, Goldfield’s acquisition of Yamana Gold, and Digital Realty’s acquisition of Interxion.

Brad was previously a Senior Vice President in the Shareholder Activism Defense practice at Ernst & Young and began his career at KeyBanc Capital Markets, working as a rotational analyst (credit risk, finance, investment banking) before joining the Equity Research group (Industrials).

He holds a B.B.A. in Economics from Loyola University New Orleans, an MBA from EDHEC Business School in France, and was a 2024 Fellow at the Economic Club of New York.
